Terms of Service

These Terms of Service (“Terms”) govern your use of visomnia.art (the “Site”), which is owned and operated by Visomnia LLC (“Visomnia,” “we,” “us,” or “our”). Visomnia Systems is a business name of Visomnia LLC. By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. THE SITE IS INFORMATIONAL
The Site describes our services and equipment and allows you to submit an inquiry. It does not offer accounts, online booking, or online payment. Nothing on the Site is an offer to contract. Any engagement with Visomnia is governed exclusively by a separate written services or rental agreement signed by both parties. If anything on the Site conflicts with that signed agreement, the signed agreement controls.
2. PRICING AND AVAILABILITY
Any rates, package figures, or availability described on the Site are indicative and are subject to change without notice. Pricing depends on scope, dates, location, duration, staffing, and other factors. Only a written itemized quote issued by Visomnia is binding, and only for the period stated in that quote.
3. INTELLECTUAL PROPERTY
All content on the Site — including text, photography, video, graphics, design, layout, and compilation (collectively, “Content”) — is the property of Visomnia LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. Site photography is our own production imagery.
All performance material, characters, staging, and adaptations referenced on the Site derive from Visomnia’s own original intellectual property, including The Cortège. “Visomnia,” “Visomnia Systems,” “The Cortège,” and our related names, logos, and designs are our trademarks. You may not use them without our prior written permission.
Viewing the Site does not transfer any ownership rights in the Content to you.
4. PERMITTED USE AND RESTRICTIONS
We grant you a personal, non-exclusive, non-transferable, revocable, limited right to access and view the Site for the purpose of learning about and inquiring into our services. You may not, and may not permit anyone else to:
Copy, reproduce, republish, distribute, or create derivative works from any Content, including our production photography, without our prior written permission
Use any robot, spider, scraper, or other automated means to access the Site or harvest its Content, including for the purpose of populating a listing, directory, or aggregator
Remove or alter any copyright, trademark, or other proprietary notice
Frame or mirror any part of the Site
Interfere with the operation or security of the Site, or use the Site for any unlawful purpose
Photography, recording, broadcast, or commercial use of our equipment, performers, or robot units at an engagement requires our prior written approval and may carry additional fees. This is addressed in the applicable services agreement. Any unauthorized use of the Site or the Content terminates the limited right granted above.
5. YOUR INQUIRY
Information you submit through the inquiry form is used to respond to you, prepare a quote, and, if you engage us, deliver the services. We do not publish, sell, or license your inquiry information. We understand that event details are often sensitive and we treat them accordingly. Our handling of this information is described in our Privacy Policy, which is incorporated into these Terms by reference.
You are responsible for the accuracy of the information you submit, and you agree not to submit anything that is unlawful or that infringes the rights of a third party.
6. DISCLAIMER OF WARRANTIES
THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SITE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ALL INFORMATION ON IT IS CURRENT OR COMPLETE.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you, but shall apply to the maximum extent permitted by law. This section governs the Site only. Warranties relating to services we perform are set out in the applicable signed agreement.
7. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, VISOMNIA WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
This limitation applies to the Site only and does not limit or modify any liability provision in a signed services or rental agreement, which governs engagements on its own terms. In jurisdictions where the limitation of liability for consequential or incidental damages is not permitted, our liability is limited to the maximum extent permitted by law.
8. THIRD-PARTY LINKS
The Site contains links to third-party websites, including thecortege.co and the sites of partners, venues, and directories. We provide these as a convenience. We do not control and are not responsible for the content, security, or practices of any site we do not operate, and your use of those sites is at your own risk.
9. CHANGES TO THESE TERMS
We may revise these Terms at any time by posting an updated version on this page and revising the “Last Updated” date. It is your responsibility to review these Terms periodically. Your continued use of the Site after an update constitutes acceptance of the revised Terms.
10. GOVERNING LAW
These Terms and any dispute arising out of or relating to them or to your use of the Site are governed by the laws of the State of California, without regard to its conflict of laws principles. You and Visomnia agree to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.
Where you have entered into a signed services or rental agreement with Visomnia, the dispute resolution and governing law provisions of that agreement control any dispute arising from that engagement.
If any provision of these Terms is held invalid or unenforceable, that provision will be given effect to the greatest extent possible and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Visomnia concerning your use of the Site.
